These Terms of Use ("Terms") govern your access to and use of the services, websites, and client portals operated by Majelyn, Inc. ("Majelyn," "we," "us," or "our"), including the authentication gateway at gate.majelyn.com and all associated portals under the majelyn.com domain (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Services, you represent that you meet these requirements.

2. Account and Access

Access to our client portals is granted on an invitation or approval basis. When you sign in using Google, Microsoft, or email authentication, you agree to provide accurate information and to keep your credentials secure. You are responsible for all activity that occurs under your account.

We reserve the right to revoke access at any time, with or without notice, for any reason, including violation of these Terms.

3. Acceptable Use

You agree not to:

• Access portals or data you are not authorized to view
• Share your authentication credentials or session tokens with unauthorized parties
• Attempt to circumvent, disable, or interfere with security features of the Services
• Use the Services for any unlawful purpose or in violation of any applicable regulations
• Reproduce, distribute, or publicly disclose any content from client portals without authorization
• Use automated tools, bots, or scrapers to access the Services

4. Confidentiality

Content accessible through Majelyn client portals may contain confidential, proprietary, or sensitive business information. You agree to treat all portal content as confidential and to not disclose, copy, or distribute it except as expressly authorized by the portal administrator or content owner.

5. Communications

By creating an account or requesting access to our Services, you consent to receive transactional communications from Majelyn, including sign-in links, access notifications, and account-related updates. We also reserve the right to contact you about the Majelyn platform, product updates, and related services. You may opt out of non-transactional communications at any time.

6. Intellectual Property

The Services, including all software, designs, text, graphics, and other content, are owned by Majelyn or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use Majelyn's trademarks, logos, or branding without prior written consent.

7. Third-Party Services

The Services integrate with third-party authentication providers (Google, Microsoft) and other services. Your use of these third-party services is subject to their respective terms and privacy policies. Majelyn is not responsible for the practices of these third parties.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Majelyn and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, regardless of the theory of liability.

10. Indemnification

You agree to indemnify and hold harmless Majelyn and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

11. Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms with an updated effective date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
